Terms and Conditions

1. TERM OF MEMBERSHIP
The Executive Membership (the “Membership”) made available by Exclusive Resorts (“ER”) under the 2007 Neiman Marcus InCircle Program (the “Program”) will commence on the first day of the calendar month following the date of reward redemption and will continue in effect for twenty-four calendar months (the “Term”), unless terminated earlier in accordance with Club Membership Agreement (the “CMA”) executed by the InCircle Member (the “Recipient”) in accordance with paragraph #6 below. No reservations for use of club properties after the termination date will be permitted to be made or used under the Membership.

2. CLUB MEMBERSHIP FEES, ANNUAL DUES & OTHER CHARGES
No Membership Fee or Annual Dues (as defined in the CMA) will be due under the Membership. User fees, house account charges and other fees will be payable in accordance with the CMA.

3. VALUE OF MEMBERSHIP
The Membership has no cash value and cannot be redeemed for any amount at any time. No amounts will be payable by ER to the Recipient in connection with (i) any Membership benefits not used by the Recipient during the Term or (ii) any resignation, termination or other cessation of the Membership.

4. NO FAMILY ACCESS OPTION OR UPGRADE
The Family Access Option set forth in Section 6 of the CMA and the upgrade and discount provisions set forth in Section 14 of the CMA are not applicable to the Membership.

5. NO ASSIGNMENT, TRANSFER OR SALE
The Membership may not be assigned, transferred or sold. Any purported or attempted assignment, transfer or sale of the Membership in violation of this paragraph #5 is void.

6. CLUB MEMBERSHIP AGREEMENT
Prior to the commencement of the Term, the Recipient will be required to execute and deliver to ER all then-standard Club Membership documents required by the Club in its standard sales process as of the date of reward redemption including without limitation to the CMA and Credit (Card Authorization Form). Except as set forth in this Addendum, the Membership will be subjected to all of the terms and conditions of an “Executive Membership” set forth in the CMA.
